Terms of Service

Payment Terms

All clients of MZondi Integrated Solutions (Pty) Ltd are required to pay a 50% upfront deposit before any work commences. The remaining balance is due upon project completion, prior to the final delivery and ownership transfer.

All deposit payments are non-refundable under any circumstances. This includes, but is not limited to, project cancellations initiated by the client, changes in scope, or failure to proceed after deposit payment.

Ownership Conditionality

• The Company will host the website and transfer ownership only after full payment is received.
• Until payment, all code, content, designs and intellectual property (IP) remain the Company's exclusive property under the Copyright Act No. 98 of 1978.
• Non-payment by Client entitles the Company to retain ownership indefinitely, per Section 22(1) of the Copyright Act.

Restrictions on Transfer

Upon ownership transfer, Client is expressly prohibited from:

1. (a) Sharing, licensing, or distributing the Website's source code, design, or proprietary components to third parties.
2. (b) Selling, transferring, or commercializing the Website or derivatives without the Company's prior written consent.

Intellectual Property Rights

All intellectual property developed by MZondi Integrated Solutions during the course of providing services remains the property of MZondi Integrated Solutions until full payment is received. Upon full payment, the client receives a license to use the intellectual property for its intended purpose but does not acquire rights to resell, modify beyond agreed parameters, or transfer the underlying code and design without explicit written permission.

Project Timeline

Project timelines are estimates and not guarantees. While MZondi Integrated Solutions will make every effort to meet projected deadlines, the Company is not liable for delays caused by circumstances beyond its reasonable control, including but not limited to client delays in providing necessary materials or feedback.

Limitation of Liability

MZondi Integrated Solutions' total liability to the client for any claim in contract, tort, or otherwise shall not exceed the total amount paid by the client for the services provided. The Company shall not be liable for any indirect, special, or consequential damages.

Governing Law

These Terms of Service are governed by the laws of South Africa. Any disputes shall be subject to the exclusive jurisdiction of the South African courts.
